1. GENERAL PROVISIONS
1.1. These Terms of Service define the rules for using the SGS HUB website available at https://sgshub.eu (hereinafter: "Service") and the provision of Services electronically.
1.2. The owner and operator of the Service is SGS HUB PROSTA SPÓŁKA AKCYJNA with its registered office in Kielce, ul. Karola Olszewskiego 6, 25-663 Kielce, Poland, entered into the Register of Entrepreneurs of the National Court Register by the District Court in Kielce, 10th Commercial Division of the National Court Register under number KRS: 0001209428, NIP (Tax ID): 9592088699, REGON: 543423042, share capital: 100.00 PLN (hereinafter: "Service Provider" or "SGS Hub").

1.4. Use of the Service implies acceptance of these Terms of Service, Privacy Policy, Refund and Complaint Policy, and Digital Goods Terms and Conditions.
1.5. These Terms constitute a distance contract within the meaning of the Act of May 30, 2014 on Consumer Rights (Poland) and "Terms of Service" under common law.
2. TERRITORIAL RESTRICTION
2.1. SGS Hub Services are offered to users from the European Economic Area (EEA) and the United States of America (USA).
2.2. Services are NOT offered to residents of the United Kingdom. Persons residing in the United Kingdom may not create accounts or use SGS Hub Services. Attempting to register or use Services by UK residents constitutes a violation of these Terms.
3. DEFINITIONS
The terms used in these Regulations mean:
3.1. User – a natural person who is at least 18 years old and has full legal capacity, or a natural person who is at least 16 years old and has the consent of a legal guardian, using the Service.
3.2. Account – an individual User account in the Service, created after registration, enabling the use of Services.
3.3. Services – services provided electronically by the Service Provider, including:

game server hosting (ARK: Survival Evolved/Ascended, FiveM, and others),
-
server management panel (based on Pterodactyl),
-
AI assistant "Draco" supporting server configuration and management,
-
community tools (guild pages, rankings, statistics),
-
integrations with external platforms (Discord, Steam),
-
sale of Digital Goods.
3.4. Digital Goods – digital content offered in the Service that is not stored on a tangible medium, described in detail in the Digital Goods Terms and Conditions.
3.5. Subscription – paid access to hosting Services or premium features, billed in monthly cycles or others specified in the offer (Plans: G, A, M, E, R, S).
3.6. Consumer – a User being a natural person performing a legal act not directly related to their business or professional activity.
3.7. User Content – any materials, files, data, configurations, and other content uploaded, stored, or shared by the User via the Service.
4. CONDITIONS OF USE
4.1. Use of the Service requires:

resilience in the territory of the EEA or USA (excluding the UK),
-
being at least 18 years old and having full legal capacity, or
-
being at least 16 years old (in EEA) / 13 years old (in USA) and having the consent of a legal guardian.
4.2. Account registration requires:
-
providing true personal data,
-
acceptance of the Terms of Service and Privacy Policy by actively checking the appropriate box ("clickwrap" procedure),
-
email address verification.
4.3. The User may register in the Service via:
-
registration form,
-
external services (Discord OAuth, Google OAuth, Steam OpenID).
4.4. The User is obliged to maintain the confidentiality of Account access data and is responsible for all actions performed using their Account.
4.5. The Service Provider reserves the right to suspend or delete the User's Account in the event of a violation of the Regulations, subject to the procedure described in section 11.
5. SCOPE OF SERVICES
5.1. The Service Provider provides the following Services:
a) Game server hosting – rental of computing resources (CPU, RAM, storage) for running survival game servers.
b) Management panel – web interface enabling management of servers, files, backups, and users.
c) AI Assistant "Draco" – intelligent assistant using RAG (Retrieval-Augmented Generation) technology supporting server configuration, diagnostics, and optimization.
d) Community tools – guild pages, player rankings, statistics, friend system.
e) Integrations – connections with Discord, Steam, Epic Games, and other platforms.
f) Digital Goods – tokens, ranks, skins, and other virtual items.
5.2. Service Level Agreement (SLA)
5.2.1. The Service Provider guarantees the availability of the hosting infrastructure at the level of 99.5% on a monthly basis.
5.2.2. The SLA does not cover:
-
planned maintenance breaks (announced at least 48 hours in advance),
-
interruptions caused by force majeure,
-
interruptions resulting from User actions or omissions,
-
DDoS attacks exceeding protection capabilities.
5.2.3. In the event of failure to meet the SLA, the User is entitled to compensation in the form of credit for future Services, proportional to the downtime.
5.3. Modifications to Services
5.3.1. The Service Provider reserves the right to modify the scope of Services, about which Users will be informed 30 days in advance. Significant changes entitle the User to terminate the contract.
6. PAYMENTS AND TAXES
6.1. General Payment Rules
6.1.1. Payments for Services are processed via the payment operator Stripe, Inc.
6.1.2. Subscriptions renew automatically at the end of each billing period unless the User cancels them before the end of the current period.
6.1.3. The Service Provider issues VAT invoices at the request of a User with entrepreneur status.
6.2. Prices and Taxes – Geographic Differentiation
FOR USERS IN THE EUROPEAN UNION: Prices shown in the Service for users from the EEA are gross prices and include VAT at the rate applicable to the User's country of residence (VAT OSS system). The VAT rate is automatically determined based on the User's location.
FOR USERS IN THE UNITED STATES: Prices shown in the Service for users from the USA are net prices and DO NOT INCLUDE Sales Tax. Applicable state, county, or local tax will be added at checkout based on the User's billing address, in accordance with the South Dakota v. Wayfair (2018) ruling and applicable state laws.
6.3. Non-payment
In the event of non-payment for the Subscription:
- access to Services will be suspended after 3 days from the payment due date,
- server data will be stored for 14 days,
- after 14 days from suspension, servers and data may be permanently deleted.
7. USER RIGHTS AND OBLIGATIONS
7.1. User Rights
The User has the right to:
- use the Services in accordance with their purpose and the provisions of the Regulations,
- receive technical support,
- submit complaints and refund requests,
- transfer data between Subscription plans.
7.2. User Obligations
The User undertakes to:
a) comply with the laws applicable in the User's jurisdiction and the provisions of the Regulations,
b) not share Account access data with third parties,
c) not take actions that may disrupt the functioning of the Service,
d) not post User Content that is unlawful, violates the rights of third parties, or good morals,
e) regularly create backups of important data.
7.3. Prohibitions
It is specifically prohibited to:
a) use Services for illegal activities,
b) host content infringing third-party copyrights,
c) distribute malicious software (malware, ransomware, viruses),
d) attempt unauthorized access to the Service Provider's or other Users' systems,
e) conduct DDoS attacks or participate in botnets,
f) host pornographic content involving minors or depicting violence against children,
g) resell Services without the written consent of the Service Provider,
h) use Services to send spam or phishing.
8. USER CONTENT
8.1. Responsibility for User Content
8.1.1. The User bears sole responsibility for User Content uploaded, stored, or shared via the Service.
8.1.2. The Service Provider does not preemptively monitor User Content, but reserves the right to remove it in the event of a violation of the Regulations or law.
8.2. Reporting Content
8.2.1. Users may report illegal content or content violating the Regulations by sending an e-mail to: support@sgshub.eu with a description of the problem and the location of the content.
8.2.2. Reports are processed within 48 business hours.
9. INTELLECTUAL PROPERTY
9.1. Service Provider Rights
9.1.1. All intellectual property rights to the Service, including software, graphics, the "SGS Hub" logo, the "Draco" mascot, and content, belong to the Service Provider or its licensors.
9.1.2. The User is granted a non-exclusive, non-transferable, revocable license to use the Service solely to the extent necessary to use the Services in accordance with the Regulations.
9.1.3. Copying, modifying, decompiling, or distributing elements of the Service without the written consent of the Service Provider is prohibited.
9.2. User Rights to User Content
9.2.1. The User retains all rights to User Content.
9.2.2. By uploading User Content to the Service, the User grants the Service Provider a non-exclusive, royalty-free license to store, process, and display it to the extent necessary to provide the Services.
9.3. DMCA Procedure (APPLIES TO USA USERS)
FOR USERS IN THE UNITED STATES:
SGS Hub respects intellectual property rights and acts in accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.
9.3.1. Designated DMCA Agent
Copyright infringement notifications should be sent to the Designated Agent:

9.3.2. "Notice and Takedown" Procedure
A DMCA Takedown Notice must contain:
a) a physical or electronic signature of a person authorized to act on behalf of the owner of the rights,
b) identification of the copyrighted work claimed to have been infringed,
c) identification of the material that is claimed to be infringing and its location in the Service,
d) contact information of the complaining party (address, phone, email),
e) a statement that the complaining party has a good faith belief that use of the material is not authorized,
f) a statement under penalty of perjury that the information in the notification is accurate.
Upon receipt of a valid notice, SGS Hub will promptly remove or disable access to the reported materials.
9.3.3. Counter-Notice Procedure
A User whose materials have been removed may submit a counter-notice containing elements specified in 17 U.S.C. § 512(g)(3).
9.3.4. Repeat Infringer Policy
SGS Hub applies a policy of terminating User Accounts who repeatedly infringe third-party copyrights. An Account may be deleted after three confirmed infringements.
10. LIMITATION OF LIABILITY
10.1. Disclaimer of Warranty (FOR USA USERS)
FOR USERS IN THE UNITED STATES:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SGS HUB DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
10.2. Disclaimer for EU Users
FOR USERS FROM THE EEA:
The above disclaimer (section 10.1) does not apply to Consumers residing in the European Economic Area to the extent that local law (including provisions on warranty for digital goods defects pursuant to Directive 2019/770 and the Consumer Rights Act) provides protection that cannot be excluded by contract.
For EU Consumers, the Service Provider is liable for the conformity of the performance with the contract under the terms set out in the mandatory provisions of the law applicable to the Consumer's place of residence.
10.3. Limitation of Damages
10.3.1. For USA Users: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SGS HUB'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO SGS HUB DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.3.2. For EU Users: The Service Provider's total liability to the Consumer for damages resulting from non-performance or improper performance of the contract is limited to the amount of fees paid by the User in the last 12 months, subject to mandatory provisions of national law.
10.4. Exclusions of Liability
The Service Provider is not liable for:
a) interruptions in access to Services caused by force majeure, failure of third-party providers, or actions of third parties,
b) loss of data resulting from User actions or omissions,
c) User Content posted by Users on servers,
d) actions or omissions of external platforms (Discord, Steam, Epic Games),
e) damages resulting from the User's violation of the Regulations.
11. DISPUTE RESOLUTION
11.1. USA Users (Binding Arbitration)
FOR USERS IN THE UNITED STATES:
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
11.1.1. Agreement to Arbitrate: You and SGS Hub agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively through final and binding arbitration, rather than in court.
11.1.2. Arbitration Rules: Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English.
11.1.3. CLASS ACTION WAIVER: YOU AND SGS HUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
11.1.4. JURY TRIAL WAIVER: YOU AND SGS HUB WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
11.1.5. Exceptions: The following disputes are excluded from arbitration:

Claims for injunctive relief related to intellectual property infringement,
-
Claims eligible for small claims court (up to $10,000),
-
Claims related to the enforcement of the arbitration agreement.
11.1.6. Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@sgshub.eu within 30 days of creating your Account.
11.2. EU Users (Courts and ODR)
FOR USERS FROM THE EUROPEAN ECONOMIC AREA:
11.2.1. Section 11.1 (Arbitration) does not apply to Consumers from the EEA.
11.2.2. Disputes involving EU Consumers will be resolved by courts competent for the Consumer's place of residence or, at the Consumer's choice, by the court competent for SGS Hub's registered office (District Court in Kielce, Poland).
11.2.3. The Consumer has the right to use out-of-court dispute resolution methods, including:
- the ODR (Online Dispute Resolution) platform of the European Commission: https://ec.europa.eu/consumers/odr,
- mediation conducted by Provincial Inspectorates of Trade Inspection.
11.3. Governing Law
11.3.1. For USA Users: The governing law is the law of the State of Delaware (USA), without regard to conflict of laws rules.
11.3.2. For EU Users: The governing law is Polish law, provided that this choice does not deprive the Consumer of the protection afforded by the mandatory provisions of the law of their country of residence.
12. TERMINATION AND ACCOUNT DELETION
12.1. Termination by User
12.1.1. The User may cancel the Services at any time by cancelling the Subscription in the Account panel.
12.1.2. The User may request Account deletion by sending a request to: support@sgshub.eu.
12.1.3. Upon termination:
- access to Services will expire at the end of the paid billing period,
- server data will be stored for 30 days (possibility to download a copy),
- Digital Goods associated with the Account will be lost.
12.2. Termination by Service Provider
12.2.1. The Service Provider may suspend or delete a User Account in the event of:
a) gross violation of the Regulations,
b) actions threatening the security of the Service or other Users,
c) hosting illegal content,
d) repeated copyright infringement (repeat infringer policy),
e) lack of payment for a period longer than 30 days.
12.2.2. Before deleting an Account (except for cases specified in points a-c requiring immediate action), the Service Provider will:
- notify the User by email of the planned deletion and its reasons,
- provide a 7-day period for appeal.
13. FINAL PROVISIONS
13.1. Severability
If any provision of these Regulations is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. An invalid provision will be replaced by a valid provision closest to the purpose of the invalid provision.
13.2. No Waiver
Failure or delay by the Service Provider in exercising any right under the Regulations does not constitute a waiver of that right.
13.3. Assignment
The User may not assign rights and obligations under the Regulations without the written consent of the Service Provider. The Service Provider may assign its rights and obligations to a third party, informing Users about it 30 days in advance.
13.4. Changes to Regulations
13.4.1. The Service Provider reserves the right to change the Regulations.
13.4.2. Users will be informed about changes by:

email notification,
-
announcement in the Service,
-
with at least 14 days notice before the changes enter into force.
13.4.3. Continued use of the Service after the changes enter into force constitutes acceptance of the amended Regulations.
13.5. Additional Regulations
In matters not covered by the Regulations, provisions of Polish law apply, in particular:
- Civil Code,
- Act of July 18, 2002 on providing services by electronic means,
- Act of May 30, 2014 on consumer rights,
- Regulation of the European Parliament and of the Council (EU) 2016/679 (GDPR).
13.6. Acceptance
By creating an Account in the SGS Hub Service, the User confirms that they have read these Regulations, understand their content, and accept all their provisions.
